These LLC services apply to all Arizona limited liability companies. All LLC formations include expedited processing by the Arizona Corporation Commission.
We draft the Articles of Organization including indemnification clauses for LLC managers and members and send the document to your email address on the same day you order.
We won't wait 7 - 10 days for your check to clear, or make you wait for a carrier. Just fax the signed document to our toll free fax number and we'll get the LLC formation underway, right away.
Before we draft the Articles, we run a search to identify potential conflicts with your LLC's name.
Your company's name cannot conflict with trade names (aka DBA) filed with the Arizona Secretary of State; corporations (profit, non-profit, foreign or domestic) registered with the Corporation Commission; limited partnerships registered with the Secretary of State or other limited liability companies authorized to do business in Arizona.
We file all new limited liability companies with expedited handling costs prepaid to the State. This shortens the Corporation Commission's turn-around time associated with an LLC's approval to less than a week.
The Corporation Commission charges $35 for expedited handling
and $50 to register the LLC.
Add Arizona's Filing & Expedite
Fees
for Total Cost
As soon as the LLC is filed we obtain the Corporation Commission's
9 digit state entity file number and a conformed copy of the
articles.
The entity number and copy are sent to you the
same day so you have proof of formation and can open the company's
bank account.
We'll send the Operating Agreement at the same
time.
Order the standard LLC formation and we include a comprehensive Operating Agreement at no cost.
Among the topics included in your Limited Liability Company's
Operating Agreement are:
(1) transferability
of membership interests;
(2) admission
of members;
(3) frequency
of distributions to owners;
(4) capital
contributions and additional contributions;
(5) management
of the company;
(6) frequency
of meetings and how they can be called;
(7) fiduciary
duties;
(8) maintenance
of and inspection rights to accounting records;
(9) restrictions
on rights of expelled members;
(10) purchasing
of life insurance by the company on members;
(11) draws
by members;
(12) rights
of assignees to participate in the management of the business
and affairs of the company;
(13) consequences
of failure of a member to make a promised capital contribution
when due;
(14) when
and how members may sell or transfer their interest;
(15) Right
of First Refusal of members to acquire a selling member's interest;
(16) rights
of members in the event of death, disability, legal separation
or divorce of another member;
(17) management
rights of married members' spouses;
(18) marital
property rights of married members' spouses whether residents
of
community
property or equitable distribution states.
Amendments to the Operating Agreement, while seldom requested, are made at no charge and will not affect pricing. If you want to modify the document, just request the change within 30 days.
The Notice of Formation is sent to you with the approved
Articles of Organization and a Memorandum explaining when,
where and how to publish notice.
Or use our publication service, and we take care
of running the notice and providing the Affidavit of Publication.
Rush orders are filed within 1 business day, (often times the same day you order). A conformed copy of the Articles with the Corporation Commission's approval endorsement, the Arizona entity file number and the Operating Agreement are sent to you in 4 to 7 days (we'll send them by postal mail, too).
Arizona statute 29-635 provides "a limited liability company is formed when the articles of organization are delivered to the commission for filing" and "a copy of the articles of organization that is filed with the commission and that is stamped and marked with the filing date" is "conclusive evidence that the limited liability company has been legally organized and formed".
So, when you elect this option, your LLC is formed within 1 day.
This option is highly recommended.
For $76 we can publish Notice of your company's formation in any County. (Arizona requires a Notice of Formation to be published when a LLC is formed)
Select this option to have us publish the Notice in the appropriate county and secure the Affidavit of Publication for your Company's records.
Otherwise, we'll prepare the Notice for you, with a Memorandum re: where, when and how to complete publication. Some people prefer the do-it-yourself approach.
The Corporation Commission charges $45 to issue an expedited Certificate of Good Standing.
Expedited certificates are returned by the Commission with the approved Articles of Organization.
This LLC Records Book includes a slip case to protect your documents from the elements.
The portfolio includes 6 tabbed indexes to keep your company forms organized.
Include it in your order for our cost plus shipping.
Reservation of the name for the LLC is usually not necessary.
You might want to reserve, if you plan a delayed filing.
Arizona LLC names can be reserved for up to 120 days.
At $209 + state fees, our standard formation service includes everything needed to form an LLC in Arizona. (This rate includes a $150.00 discount for ordering online)
