State Fees
This page includes a schedule of fees and prices charged to incorporate in Arizona. Costs on this page apply to forming an Arizona Corporation doing business for profit.
We draft the Articles of Incorporation including indemnification clauses for Directors, the Certificate of Disclosure under ARS §10-202(D) and an Acceptance of Appointment by the Statutory Agent.
These documents are delivered to your email address on the same day you order.
Just sign and fax the prepared documents to our toll-free number, and we'll file the Corporation within 3 business days.
Before we draft the formation documents, we'll conduct a search to be sure the proposed name is acceptable with the Corporation Commission and that no conflicts exist.
Corporate names cannot conflict with trade names, DBAs, other corporations or companies filed with the Corporation Commission or Secretary of State.
Filing the incorporation documents in-person, over-the-counter at the Corporation Commssion enables us to secure:
The entity registration number and a conformed copy of the Articles of Incorporation are sent to you the same day the corporation is filed.
Now you have conclusive proof of incorporation under ARS 10-203 (meaning you can get the Federal EIN and open your corporate bank account).
The bylaws and Organizational Action of Board of Directors are also provided to you with the conformed Articles of Incorporation (immediately upon registering the corporation).
This is to document the Directors and Officers are authorized to open accounts, enter contracts and undertake business on behalf of the corporation.
We register corporations with expedited handling fees prepaid to the State. This shortens the Corporation Commission's processing time for new Corporation's to under 1 week.
The Commission charges $35 for expedited
handling and $60 to register the Corporation.
Add Arizona's Filing & Expedited
Processing Fees for Total Cost
With all incorporations we include custom prepared bylaws to comply with the Arizona Corporate Code.
When you incorporate, Arizona requires you to do more than merely register formation papers to be compliant - a fact omitted by 80% of online incorporator services.
Arizona law clearly says "After incorporation the board of directors shall hold an organizational meeting at the call of a majority of the directors to complete the organization of the corporation by appointing officers, adopting bylaws and carrying on any other business brought before the meeting" (see ARS 10-205).
If you don't do this, then you do not have a valid corpororation, and it is the first line of attack a creditor will take if they attempt to pierce the corporate veil!
The Notice of Incorporating and accompanying
Memorandum Regarding Publication are sent
to you with the state-approved Articles
of Incorporation. The Memorandum explains
when, where and how to publish the notice.
Take advantage of our publication service,
and we'll publish the Notice and file the
Affidavit of Publication for you.
We'll send you the ACC approved Articles of Incorporation bearing the State's UPC code which indicates the registration has been reviewed and approved by the Commission and is now "of legal record".
This approved copy is to be kept at the corporation's known place of business in Arizona, together with the Bylaws, Organizational Action and Statutory Agent's Acceptance, all of which you will have previously received from this office.
Same day orders are filed within 1 business day, (usually on the same day you order). A conformed copy of the Articles, the corporation's registration number, bylaws and organizational action are sent to you within 2 to 4 days.
Arizona says a corporation is in legal existence when its Articles of Incorporation are filed (not when the ACC reviews and places the UPC approval code on it). This is so you can incorporate within a day.
We will publish Notice of your company's incorporation in the County of its place of business and file the Affidavit of Publication.
If you don't use this option, we'll draft the Notice and a Memorandum instructing you where, when and how to publish.
If you do it yourself, you're going to pay more than $85 to the newspaper you choose. Still, sometimes incorporators want to publish Notice themselves, since the task is easy to do.
The Corporation Commission charges $45 to issue an expedited Certificate of Good Standing.
Expedited certificates are returned by the Commission with the approved Articles of Incorporation.
Reserving the name for a corporation is usually not necessary, but may be desireable, if you plan a delayed filing.
Arizona Corporation names can be reserved for 120 days.
The following items are included in Paralegal-Plus Arizona incorporation services at a flat fee of $199 plus state filing fees and publication expenses. (This rate includes a $100 credit for incorporating online)
